The terms that govern your use of boytwigg.ai.

1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of boytwigg.ai and any pages, content, forms, or functionality made available through it (collectively, the "Site").
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Website Only
These Terms govern only the Site and interactions that occur before a formal client engagement.
Any AI-agent design, development, deployment, operation, maintenance, consulting, or other professional services are governed by a separate written agreement signed by BoyTwigg and the applicable client. These Terms do not modify or replace that agreement.
Booking a consultation, submitting an inquiry, receiving information or a proposal, or participating in preliminary discussions does not create a client relationship or obligate either party to enter into an engagement.
3. About the Site
BoyTwigg AI LLC is a Texas limited liability company that designs and builds custom AI-agent systems and provides related strategy and operations services.
The Site describes our business, capabilities, methods, examples, past work, and potential services. Site content is provided for general informational and marketing purposes only. It is not:
- A binding offer to provide services
- A promise that we will accept an engagement
- A guarantee of availability, timing, performance, savings, revenue, or any other result
- Legal, financial, tax, accounting, cybersecurity, compliance, employment, investment, or other regulated professional advice
4. Permitted Use
Subject to these Terms, BoyTwigg grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful personal or internal business purposes.
You may print or save a reasonable number of Site pages for internal reference, provided that you do not remove ownership notices, alter the content, or use it commercially.
5. Prohibited Conduct
You may not, directly or indirectly:
- Use the Site in violation of law, regulation, sanctions, or another person's rights
- Attempt to gain unauthorized access to the Site, accounts, systems, networks, source code, or data
- Probe, scan, test, or circumvent any security, authentication, rate-limit, or access-control measure without written authorization
- Interfere with, disrupt, overload, damage, or impair the Site or related infrastructure
- Introduce malware, malicious code, harmful instructions, or destructive content
- Use automated tools to scrape, crawl, index, harvest, extract, or reproduce Site content without our written permission, except for ordinary search-engine indexing that complies with our technical instructions
- Reverse engineer, decompile, disassemble, copy, modify, or create derivative works from Site software or protected content, except where such a restriction is prohibited by law
- Impersonate another person, misrepresent your identity or affiliation, or submit false or misleading information
- Use Site content to build, train, benchmark, or improve a competing product, service, model, or dataset without written permission
- Remove, obscure, or alter proprietary notices
- Use the Site in any manner that could expose BoyTwigg or another person to liability
We may investigate suspected violations and may restrict, suspend, or terminate Site access at any time.
6. Intellectual Property
The Site and its content, design, layout, graphics, photographs, illustrations, software, text, logos, trademarks, service marks, trade dress, and other materials are owned by or licensed to BoyTwigg and are protected by intellectual-property and unfair-competition laws.
Except for the limited permission expressly granted in these Terms, no right or license is granted by implication, estoppel, or otherwise. You may not use the BoyTwigg name, logo, marks, or branding without our prior written permission.
7. Information You Submit
You are responsible for information you submit through the Site. You represent that:
- You have the right to provide the information
- The information is accurate to the best of your knowledge
- Providing it does not violate law, confidentiality obligations, intellectual-property rights, privacy rights, or other third-party rights
Do not submit passwords, credentials, Social Security numbers, financial account information, health information, legally privileged material, trade secrets, or other highly sensitive information through a general website form.
Submission of information does not make BoyTwigg your fiduciary, attorney, accountant, investment adviser, agent, or other professional adviser.
8. Consultations and Confidentiality
Preliminary consultations are intended to evaluate a potential business relationship. Information submitted through the Site or discussed in a preliminary consultation is handled in accordance with our Privacy Policy, but preliminary discussions are not automatically subject to professional privilege or a comprehensive confidentiality obligation.
Before disclosing materially sensitive, proprietary, regulated, or strategically significant information, the parties should execute an appropriate non-disclosure agreement or other written agreement.
9. No Professional Advice
The Site does not provide legal, financial, investment, tax, accounting, cybersecurity, compliance, employment, medical, or other regulated professional advice. You should consult an appropriately qualified professional before acting on information that may affect your legal rights, finances, compliance obligations, security posture, or other material interests.
Nothing on the Site creates an attorney-client, fiduciary, advisory, employment, partnership, joint-venture, agency, or similar relationship.
10. AI, Automation, and Results Disclaimer
The Site may describe AI agents, automations, workflows, model-assisted outputs, or potential operational outcomes. Artificial-intelligence systems can produce incomplete, inaccurate, inconsistent, biased, or unexpected results, and third-party models and platforms may change over time.
Case studies, examples, testimonials, timelines, metrics, and past results are illustrative and do not guarantee that any person or organization will achieve the same or similar results. Outcomes depend on factors including scope, data quality, system access, third-party services, implementation choices, user participation, market conditions, and other circumstances outside BoyTwigg's control.
Any production safeguards, approval requirements, performance commitments, support obligations, or allocation of risk are addressed only in a separate signed client agreement.
11. Third-Party Websites and Services
The Site may link to third-party websites or services, including scheduling, social media, code-hosting, communications, trust-center, or technology-provider pages. A link does not imply endorsement, control, or responsibility.
Third-party services are governed by their own terms, privacy policies, availability, and security practices. BoyTwigg is not responsible for third-party content, products, services, acts, omissions, interruptions, or data practices.
12. Feedback
If you voluntarily provide ideas, suggestions, or feedback about the Site or BoyTwigg, you grant BoyTwigg a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use and incorporate that feedback without restriction or compensation.
This section does not give us ownership of information that is protected by a separate written confidentiality agreement.
13. Electronic Communications
When you contact us electronically or submit a form, you consent to receive communications from us electronically. Electronic notices satisfy any legal requirement that communications be in writing, except where applicable law requires another method.
You are responsible for keeping the contact information you provide accurate.
14. Site Availability and Changes
We may modify, suspend, restrict, or discontinue any part of the Site at any time without notice. We are not obligated to update Site content or maintain any particular feature.
We may correct errors, remove content, or change descriptions, availability, pricing references, or other information at any time. Site information may become outdated, and we do not undertake a duty to update it unless required by law.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
BOYTWIGG DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, COMPLETE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT SITE CONTENT WILL MEET YOUR REQUIREMENTS.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply to the greatest extent permitted by law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOYTWIGG AI LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF BOYTWIGG AND THE OTHER PROTECTED PARTIES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
1. ONE HUNDRED U.S. DOLLARS (US $100); OR 2. THE AMOUNT YOU PAID BOYTWIGG, IF ANY, SPECIFICALLY FOR ACCESS TO THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply even if a remedy fails of its essential purpose.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, liability is limited to the greatest extent permitted by law.
17. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless BoyTwigg AI LLC and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and service providers from claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your misuse of the Site
- Information or materials you submit
- Your violation of these Terms
- Your violation of law or a third party's rights
BoyTwigg may control the defense and settlement of a covered matter, and you agree to cooperate. You may not settle a claim in a manner that admits fault by, imposes obligations on, or fails to fully release BoyTwigg without our written consent.
18. Governing Law and Exclusive Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
Subject to any non-waivable right under applicable law, the state and federal courts located in Harris County, Texas, will have exclusive jurisdiction and venue, and you consent to their personal jurisdiction.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Time Limit for Claims
To the maximum extent permitted by law, any claim arising out of or relating to the Site or these Terms must be filed within one year after the claim arose. Otherwise, the claim is permanently barred.
This section does not shorten a limitations period where applicable law prohibits doing so.
20. Export Controls and Sanctions
You may not use the Site in violation of U.S. export-control, sanctions, or anti-boycott laws. You represent that you are not located in, ordinarily resident in, or organized under the laws of a comprehensively sanctioned jurisdiction and are not identified on a U.S. government restricted-party list, except to the extent a transaction is authorized by applicable law.
21. Changes to These Terms
We may update these Terms from time to time. The updated Terms take effect when posted unless a later date is stated. We will revise the "Last Updated" date.
Your continued use of the Site after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Site.
22. Suspension and Termination
We may restrict, suspend, or terminate your access to the Site at any time if we believe you have violated these Terms, created risk or legal exposure, or used the Site in a manner harmful to BoyTwigg or others.
Sections that by their nature should survive termination will survive, including intellectual-property, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous provisions.
23. Miscellaneous
23.1 Entire Agreement
These Terms and the Privacy Policy are the entire agreement between you and BoyTwigg regarding the Site and supersede prior or contemporaneous communications about Site use.
23.2 Severability
If a provision is held unlawful or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
23.3 No Waiver
A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and signed by BoyTwigg.
23.4 Assignment
You may not assign or transfer these Terms without our written consent. BoyTwigg may assign these Terms in connection with a merger, reorganization, sale of assets, corporate transaction, or by operation of law.
23.5 No Third-Party Beneficiaries
These Terms do not create rights for any third party, except that BoyTwigg's affiliates, members, managers, officers, employees, contractors, agents, licensors, and service providers are intended beneficiaries of provisions that protect them.
23.6 Force Majeure
BoyTwigg is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, utility or telecommunications failures, internet or cloud-service outages, labor disputes, civil unrest, governmental action, cyberattacks, epidemics, or failures of third-party platforms.
23.7 Headings
Headings are for convenience only and do not affect interpretation.
